1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Digital XR LLC, a Delaware limited liability company doing business as Smart QR Code ("Company," "we," "us," or "our"). By accessing or using www.smart-qrcode.com (the "Website") or any related services (the "Services" or "Platform"), you represent that you have read, understood, and agreed to be bound by these Terms in their entirety.
If you do not agree to these Terms, you must immediately discontinue all use of the Website and Services.
2. Definitions and Scope of Service
2.1 Definition of "Lifetime Access"
"Lifetime Access" or "Lifetime License" means access to the Platform's Core QR Code Features (defined below) for the operational lifetime of the Platform, not the lifetime of the User. We reserve the right to discontinue the Platform at any time with ninety (90) days written notice to Users via email.
2.2 Core QR Code Features
The Lifetime License includes access to the following Core QR Code Features as they exist at the time of purchase:
- Unlimited dynamic QR code generation
- Real-time scan analytics and tracking
- Custom branded QR code templates
- Video and business page QR codes
- Team collaboration features
- Bug fixes and security updates to the above features
- Performance improvements to existing functionality
2.3 Premium Add-Ons and Future Features
The Lifetime License does not include access to Premium Add-Ons or new feature tiers that may be developed and offered separately after your purchase date. Examples of potential Premium Add-Ons (not exhaustive) include:
- Custom domain/white-label QR codes
- Landing page builder
- Advanced analytics and reporting tiers
- API access beyond standard limits
- Enterprise features
- Any other features explicitly designated as Premium Add-Ons
We reserve the right to develop, price, and offer Premium Add-Ons at our sole discretion. Lifetime License holders have no automatic entitlement to Premium Add-Ons without separate purchase.
3. User Accounts
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You are solely responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized access or security breach
- We reserve the right to suspend or terminate accounts that violate these Terms
4. Acceptable Use Policy
You agree not to use the Platform to:
- Violate any applicable laws, regulations, or third-party rights
- Create QR codes linking to malicious, illegal, or harmful content
- Distribute malware, viruses, or any harmful code
- Engage in phishing, fraud, or deceptive practices
- Infringe on intellectual property rights of others
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to our systems
- Resell, redistribute, or sublicense the service without authorization
- Use automated systems to abuse or overload our infrastructure
We reserve the right to investigate violations and may report illegal activities to law enforcement authorities.
5. Content Ownership and License
5.1 Your Content
You retain all ownership rights to the content you create using our Platform. By using our service, you grant us a limited, non-exclusive, royalty-free license to host, display, and process your content solely to provide the service to you.
5.2 Our Content
The Platform, including its design, features, code, and documentation, is owned by Smart QR Code and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Platform without written permission.
5.3 Content Removal
We reserve the right to remove any content that violates these Terms or applicable laws, without prior notice.
6. Pricing and Payment
6.1 Available Plans
We offer the following plans to access the Core QR Code Features defined in Section 2.2:
- Lifetime License: A one-time payment that grants access for the operational lifetime of the Platform. Not a subscription.
- Annual Subscription: A recurring annual fee that auto-renews each year unless cancelled before the renewal date.
- Monthly Subscription: A recurring monthly fee that auto-renews each month unless cancelled before the renewal date.
- Trial: A 7-day evaluation period for a nominal fee that converts to the Annual Subscription unless cancelled (see Section 6.2).
Current pricing is published on our pricing page. You may cancel any subscription at any time from your account settings; cancellation stops future renewals but does not entitle you to a prorated refund of the current period.
6.2 Trial Period
We may offer a trial period for a nominal fee (currently $1.99 for 7 days). During the trial, you have access to the Core QR Code Features. At the end of the trial period, your account will automatically convert to the then-current Annual subscription plan (currently $97/year, billed annually) unless you cancel before the trial ends. By starting a trial, you authorize us to charge your payment method for the applicable subscription fee upon trial expiration. Some Users who started a trial during a prior promotional window may instead convert to a Lifetime License at the price disclosed at signup; in those cases the conversion price is fixed at the rate shown when the trial began.
6.3 Payment Processing
All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. All prices are in USD unless otherwise stated.
6.4 Price Changes
We reserve the right to modify pricing at any time. Price changes do not affect existing Lifetime License holders for Core Features already included in their license.
7. Refund Policy
7.1 7-Day Money-Back Guarantee
We offer a 7-day money-back guarantee on direct Lifetime License purchases only. If you purchase a Lifetime License directly (without a trial) and are not satisfied, contact us within 7 days of your purchase for a full refund.
- Refund requests must be made within 7 days of the original purchase date
- Trial-to-Lifetime conversions are not eligible for refunds — the trial period serves as your evaluation period
- Trial fees are non-refundable
- Refunds are processed within 7-10 business days
- Funds are returned to the original payment method
7.2 No Refunds for Service Changes
Changes to features, addition of Premium Add-Ons, or modifications to the Platform do not entitle Users to refunds. Platform discontinuation does not entitle Users to refunds, as the value received during the operational period constitutes full consideration for payment.

8. Service Modifications and Discontinuation
8.1 Right to Modify
We reserve the right to modify, update, or enhance the Platform at any time. This includes adding new features, improving existing features, or restructuring the service.
8.2 Right to Discontinue
We reserve the right to discontinue, suspend, or terminate the Platform at any time for any reason, including but not limited to: business decisions, lack of profitability, sale of the company, or technical infeasibility. In the event of planned discontinuation, we will provide Users with at least ninety (90) days written notice via email.
8.3 No Obligation for Future Features
Nothing in these Terms obligates us to develop, release, or provide any specific features, updates, or improvements beyond what is included in the Core QR Code Features at the time of your purchase.
9. Service Availability
While we strive for high availability, we do not guarantee uninterrupted, error-free, or secure access to the Platform. We are not liable for any downtime, data loss, or service interruptions caused by:
- Scheduled or emergency maintenance
- Third-party service outages (including hosting providers)
- Internet connectivity issues
- Events beyond our reasonable control
10. Disclaimer of Warranties
10.1 "As Is" Basis
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
10.2 No Implied Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11. Limitation of Liability
11.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE. FOR LIFETIME LICENSE HOLDERS, THIS IS LIMITED TO THE ONE-TIME PAYMENT AMOUNT.
11.2 Exclusion of Damages
IN NO EVENT SHALL WE BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- COST OF SUBSTITUTE SERVICES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Digital XR LLC (d/b/a Smart QR Code), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or QR codes created using the Platform
- Any illegal or unauthorized use of your account
13. Dispute Resolution and Arbitration
13.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.
13.2 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE ACTION.
13.3 Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
13.4 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
14. Governing Law
14.1 Choice of Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
14.2 Venue
For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
15. Termination
15.1 Termination by User
You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any amounts paid.
15.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if you:
- Violate these Terms
- Engage in illegal or fraudulent activity
- Infringe on intellectual property rights
- Create an excessive support burden
- Abuse or misuse the Platform
15.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
16. Data and Privacy
16.1 Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
16.2 Data Export
Prior to any planned discontinuation of the Platform, we will provide Users with the ability to export their data, including QR code configurations and analytics history, during the notice period.
17. Third-Party Services
Our Platform integrates with third-party services including:
- Stripe - Payment processing
- Supabase - Data storage and authentication
- Vercel - Hosting and infrastructure
- Brevo - Email communications
Your use of the Platform is also subject to the terms of service of these third-party providers. We are not responsible for their services or practices.
18. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify Users of material changes via email at least thirty (30) days before the changes take effect.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Digital XR LLC (d/b/a Smart QR Code) regarding the Platform.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
20.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

By using Smart QR Code, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
